1. ACCEPTANCE OF TERMS

By accessing or using the services provided by Oye Collective, a company incorporated under French law and located in Paris, France ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of our services, including visitors, registered users, and clients.

If you do not agree to these Terms, you must not access or use our services. By continuing to use our services, you represent that you have the legal authority to enter into this agreement and that you are at least 18 years old or have parental consent if you are a minor.

2. DESCRIPTION OF SERVICES

Oye Collective operates a dual business model offering:

2.1 SaaS Products

  • ACTVT Desktop Application: A productivity and workflow management tool
  • ComicVerse Platform: A digital platform for comic creation and distribution
  • Additional software applications and digital tools as may be developed

2.2 Custom Development Services

  • Frontend development and user interface design
  • Backend development and API creation
  • Scaling and DevOps solutions
  • Mobile application development
  • AI agent development and implementation
  • Custom software solutions and consulting services

Our services are provided primarily to business clients (B2B) and, for certain products, to individual consumers (B2C). We serve over 10,000 product users and have completed more than 50 client projects.

3. USER ACCOUNTS AND RESPONSIBILITIES

3.1 Account Registration

To access certain services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 User Obligations

You agree to:

  • Provide accurate and truthful information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Comply with all applicable laws and regulations
  • Use our services only for lawful purposes
  • Respect intellectual property rights of others

3.3 Prohibited Uses

You may not:

  • Use our services for illegal activities
  • Attempt to gain unauthorized access to our systems
  • Distribute malware or harmful code
  • Violate any applicable laws or regulations
  • Infringe upon the rights of others

4. PAYMENT TERMS

4.1 SaaS Products

  • Subscription fees are billed in advance on a monthly or annual basis
  • Prices are displayed in Euros (EUR) and include applicable VAT
  • Payment is due immediately upon subscription activation
  • Automatic renewal applies unless cancelled before the renewal date

4.2 Development Services

  • Project-based pricing determined by scope and requirements
  • Payment schedules based on agreed milestones
  • Initial deposit may be required before project commencement
  • Final payment due upon project completion and acceptance

4.3 Late Payments

Late payments may result in service suspension and may incur additional fees as permitted by French law.

5. REFUND POLICY

5.1 SaaS Products

  • 30-Day Money-Back Guarantee: New subscribers may request a full refund within 30 days of initial subscription only (does not apply to auto-renewed subscriptions)
  • Refunds processed within 5-10 business days of approved request
  • No refunds for partial subscription periods after the 30-day period

5.2 Development Services

  • Milestone-Based Refunds: Refunds calculated based on completed milestones
  • 100% Refund: Available if project has not commenced within 14 days of contract signing
  • Work completed and accepted by client is non-refundable

5.3 EU Consumer Rights

In accordance with EU Directive 2011/83/EU:

  • EU consumers have a 14-day cooling-off period for distance contracts
  • This right applies to development service contracts but not to digital content that has been delivered
  • To exercise this right, contact us using the information in Section 16

5.4 Refund Procedure

To request a refund:

  2. Provide order/subscription details and reason for refund
  3. Await confirmation and processing (5-10 business days)

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Our Intellectual Property

All content, software, and materials provided through our services remain our property or that of our licensors. You receive only the right to use our services as specified in these Terms.

6.2 Development Services

  • Custom Code: Code developed specifically for clients becomes client property upon full payment
  • Pre-existing IP: Our pre-existing tools, frameworks, and methodologies remain our property
  • Third-Party Components: Subject to respective third-party licenses

6.3 User Content

You retain ownership of content you submit but grant us necessary rights to provide our services, including storage, processing, and display as required for service functionality.

7. DATA PRIVACY AND SECURITY

7.1 GDPR Compliance

As a company established in the EU, we comply with the General Data Protection Regulation (GDPR). Oye Collective SASU acts as the Data Controller for all personal data processed through our services. Our data processing practices are detailed in our Privacy Policy.

7.2 Data Rights

You have the right to:

  • Access your personal data
  • Rectify inaccurate data
  • Erase your data ("right to be forgotten")
  • Port your data to another service
  • Object to certain processing activities

7.3 Data Security

We implement appropriate technical and organizational measures to protect your data, including encryption, access controls, and regular security assessments.

8. WARRANTIES AND DISCLAIMERS

8.1 100% Satisfaction Guarantee

We stand behind our work with a 100% satisfaction guarantee. If you are not satisfied with our development services, we will work to remedy any issues or provide appropriate compensation as outlined in our refund policy.

8.2 Service Warranties

We warrant that our services will perform substantially in accordance with our documentation and specifications.

8.3 French Consumer Warranties

For French consumers, the following mandatory warranties apply:

  • Legal Warranty of Conformity: 2 years from delivery for defects existing at time of delivery (Articles L217-4 to L217-14 of the Consumer Code)
  • Warranty Against Hidden Defects: Protection against defects that render the service unsuitable for its intended use (Articles 1641 to 1649 of the Civil Code)

8.4 Disclaimers

TO THE EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

These disclaimers do not affect your statutory rights as a consumer under French and EU law.
